1. Service Description
1.1 Scope of Services
Nsutite provides nsutite.org, a cloud-based software-as-a-service platform designed to deliver online tools, features, and functionality to registered and authorized users. The specific features available to you depend on your subscription plan, account type, and any additional terms or order forms that you or your organization may enter into with Nsutite. Unless otherwise agreed in writing, Nsutite does not warrant that the Service will meet your specific requirements or be compatible with all systems, devices, or third-party services.
1.2 License and Restrictions
Subject to your compliance with these Terms, Nsutite grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes during the term of your account. You may not sell, resell, sublicense, distribute, or commercially exploit the Service except as expressly authorized. To the extent that transactions involving the Service are governed by the Uniform Commercial Code (UCC) Article 2 as adopted by the states, or by the Uniform Computer Information Transactions Act (UCITA, adopted only in MD/VA/LA), those statutes apply solely to the extent required by law and do not expand the scope of the license granted hereunder.
1.3 Availability and Modifications
Nsutite uses commercially reasonable efforts to make the Service available, but we do not guarantee uninterrupted, secure, error-free, or virus-free operation. Scheduled maintenance, emergency repairs, third-party failures, and factors beyond our reasonable control may affect availability. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and we are not liable to you or any third party for any modification, suspension, or discontinuance.
2. User Accounts
2.1 Registration and Accuracy
To access certain features of the Service, you must create an account and provide accurate, current, and complete information. You agree to keep your account information updated and to notify us promptly of any unauthorized use or security breach. Nsutite is not responsible for any loss or damage arising from your failure to maintain accurate account information or to safeguard your credentials.
2.2 Account Security
You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must use strong passwords and take reasonable precautions to prevent unauthorized access. You agree to notify Nsutite immediately at [email protected] if you suspect any unauthorized use of your account or any other breach of security. Nsutite will not be liable for any loss caused by unauthorized use of your account prior to such notification.
2.3 Eligibility
You must be at least eighteen (18) years old, or at least thirteen (13) years old with verifiable parental consent, to use the Service. The Service is not directed to children under thirteen (13), and Nsutite does not knowingly collect personal information from children under thirteen in compliance with the Children’s Online Privacy Protection Act, 15 U.S.C. §§ 6501-6506 (COPPA), and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments). If we learn that we have collected personal information from a child under thirteen without proper consent, we will delete that information promptly.
3. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms, all applicable federal, state, and local laws and regulations, and generally accepted industry practices. You must not use the Service in any way that could damage, disable, overburden, impair, or interfere with the Service or any third party’s use of the Service. Your use must comply with laws including, but not limited to, the Federal Trade Commission Act § 5, 15 U.S.C. § 45 (FTC Act — unfair/deceptive practices), the Electronic Communications Privacy Act, 18 U.S.C. § 2511, and the California Invasion of Privacy Act § 631.
You are responsible for all activity that occurs under your account and for any content that you upload, post, transmit, or otherwise make available through the Service. You must ensure that your use does not violate the rights of others, including intellectual property rights, privacy rights, publicity rights, or contractual rights. Nsutite reserves the right, but not the obligation, to investigate and take appropriate action regarding any use that we believe may violate these Terms or applicable law.
You must not attempt to probe, scan, test the vulnerability of, or breach the security of the Service or any associated systems or networks. You may not use any automated means, including robots, spiders, scrapers, or data mining tools, to access or use the Service except as expressly permitted by Nsutite in writing or through the functionality of the Service itself. Violation of this Acceptable Use Policy may result in suspension or termination of your account and referral to appropriate law enforcement authorities.

Nsutite may cooperate fully with law enforcement authorities, regulatory agencies, and injured third parties in investigating and prosecuting violations of this Section. We reserve the right to remove content, suspend accounts, and take any other action we deem appropriate, including reporting illegal activity to the appropriate authorities, without prior notice and at our sole discretion.
5. Content Ownership
All right, title, and interest in and to the Service, including but not limited to software, source code, object code, algorithms, APIs, databases, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, trademarks, service marks, trade dress, and all intellectual property rights therein, are owned by Nsutite or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service or its content.
Nsutite grants you only the limited license expressly set forth in these Terms. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, rent, lease, loan, or otherwise exploit any portion of the Service except as expressly permitted. Any feedback, suggestions, ideas, or improvements that you provide to Nsutite regarding the Service may be used by Nsutite without restriction, compensation, or attribution to you.
The Service may display or link to third-party content, services, or websites that are not owned or controlled by Nsutite. 6.3 Monitoring and Removal
Nsutite does not pre-screen User Content but reserves the right, in its sole discretion, to review, monitor, remove, or disable access to any User Content at any time and for any reason, including if we believe it violates these Terms or applicable law. We may also disclose User Content or information about your use of the Service if required by law, subpoena, court order, or governmental request, or if such disclosure is necessary to protect the rights, property, or safety of Nsutite, our users, or the public.
