Terms and Conditions
Last Updated: September 2026
1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nsutite ("Company," "we," "us," or "our") governing your access to and use of the nsutite.org website located at nsutite.org (the "Site"), together with any related applications, software-as-a-service platforms, tools, features, content, products, or services offered by the Company (collectively, the "Services"). By accessing, browsing, registering for, or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Cookie Policy, each of which is incorporated herein by reference. If you do not agree to all of these Terms, you must immediately discontinue use of the Site and Services.
Your use of the Services is expressly conditioned on your compliance with these Terms, all applicable federal, state, and local laws and regulations of the United States, including but not limited to the Federal Trade Commission Act § 5, 15 U.S.C. § 45, the Restore Online Shoppers' Confidence Act, 15 U.S.C. §§ 8401-8405 ("ROSCA"), the Children's Online Privacy Protection Act, 15 U.S.C. §§ 6501-6506 ("COPPA"), and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments). These Terms apply to all visitors, registered users, customers, and others who access or use the Services, regardless of whether you have created an account.
You represent and warrant that you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater, and that you have the legal capacity to enter into a binding contract. If you are using the Services on behalf of an organization, business, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity. We reserve the right, in our sole discretion, to deny access to the Services to any person or entity for any reason or no reason, at any time, and without prior notice.
2. Use of Service
Nsutite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes or personal, non-commercial use, as applicable, in accordance with these Terms and any subscription plan, order form, or service description you enter into with us. The Services are provided on a software-as-a-service basis and may be subject to additional terms, fees, usage limits, or service-level agreements, which shall be incorporated into these Terms by reference. Unless otherwise expressly agreed in writing, we do not transfer ownership of any software, code, data, or other materials to you.
You acknowledge that the availability, functionality, and performance of the Services depend on a variety of factors, including your internet connection, devices, third-party integrations, and compatibility with our systems. We reserve the right to modify, suspend, or discontinue the Services, or any portion thereof, temporarily or permanently, with or without notice to you. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services, except as expressly provided in a separate written agreement between you and Nsutite. Transactions involving paid Services may also be subject to the Uniform Commercial Code (UCC) Article 2 as adopted by the applicable state, and in Maryland, Virginia, and Louisiana, aspects of the Uniform Computer Information Transactions Act (UCITA) may apply.
All subscription or recurring billing arrangements are governed by ROSCA and applicable state laws concerning negative-option features. By enrolling in any subscription, free trial, automatic renewal, or recurring payment plan, you expressly authorize us to charge your designated payment method on a recurring basis until you cancel in accordance with the cancellation procedures described on the Site or in your account settings. You agree that we will provide all material terms of the offer, obtain your express informed consent before charging you, and provide a simple mechanism for cancellation consistent with ROSCA requirements.
3. User Obligations
As a condition of your use of the Services, you agree to use the Site and Services only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. You shall not, directly or indirectly: (a) use the Services in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Services; (b) attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services; (c) use any robot, spider, scraper, crawler, or other automated means to access the Services for any purpose without our prior written consent; (d) introduce viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material; (e) engage in framing, mirroring, or scraping of the Site or Services; or (f) use the Services to transmit, distribute, or store any content that is unlawful, defamatory, obscene, harassing, threatening, discriminatory, or otherwise objectionable.
You are solely responsible for all activity that occurs under your account, including maintaining the confidentiality and security of your login credentials, passwords, API keys, tokens, and other access mechanisms. You agree to notify us immediately at [email protected] of any unauthorized use of your account or any other breach of security. Nsutite will not be liable for any loss or damage arising from your failure to comply with this security obligation. You may not share, sell, rent, or otherwise transfer your account or credentials to any third party, and you may not create accounts by automated means or under false or fraudulent pretenses.
You further agree to provide accurate, current, and complete information during the registration or account setup process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Services if we have reasonable grounds to suspect that any information you provide is untrue, inaccurate, not current, or incomplete. If you collect, process, or store personal information of end users or third parties through the Services, you are responsible for complying with all applicable privacy and data protection laws, including the California Consumer Privacy Act as amended by the California Privacy Rights Act (CPRA) (Cal. Civ. Code § 1798.100 et seq.), the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), the Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), the Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), the Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and other state comprehensive privacy laws.
4. Intellectual Property Rights
All content, materials, software, code, text, graphics, logos, images, audio, video, data compilations, databases, trademarks, service marks, trade dress, and other intellectual property displayed on or accessible through the Services (collectively, "Company Materials") are the property of Nsutite or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Except for the limited license expressly granted to you in Section 2, nothing in these Terms shall be construed as granting you any right, title, or interest in or to the Company Materials, whether by implication, estoppel, or otherwise.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or exploit any Company Materials without the prior written consent of Nsutite, except as expressly permitted by these Terms or applicable law. Any feedback, suggestions, ideas, or other information you provide to us regarding the Services ("Feedback") shall be deemed non-confidential and non-proprietary, and you hereby grant Nsutite a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback for any purpose, without compensation to you.
If you upload, submit, post, or otherwise make available any content, data, or materials through the Services ("User Content"), you represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to use and authorize Nsutite to use such User Content in connection with the operation of the Services. You retain ownership of any User Content you submit, but you grant Nsutite a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content for the purpose of providing, operating, maintaining, improving, and promoting the Services. We reserve the right to remove or disable access to any User Content that violates these Terms or applicable law at any time, without prior notice.
5. Limitation of Liability
To the fullest extent permitted by applicable law, Nsutite, its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, and representatives (collectively, the "Company Parties") shall not be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, revenue, business interruption, or other intangible losses, whether in contract, tort (including negligence), strict liability, or otherwise, arising out of or relating to: (a) your access to or use of, or inability to access or use, the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content, even if the Company Parties have been advised of the possibility of such damages.
Without limiting the foregoing, in no event shall the total aggregate liability of the Company Parties to you for all claims, damages, losses, and causes of action arising out of or relating to these Terms or the Services exceed the greater of: (a) the amount paid by you to Nsutite for access to and use of the Services during the twelve (12) month period immediately preceding the date on which the claim arose; or (b) one hundred United States dollars (US$100). If you have not paid any amounts to Nsutite during such period, the liability cap shall be one hundred United States dollars (US$100). The limitations of liability set forth in this Section shall apply regardless of the form or theory of the claim or action, whether in contract, warranty, tort (including negligence), strict liability, indemnity, or otherwise.
The limitations set forth in this Section shall not apply to claims that cannot be limited or excluded under applicable law, including claims for gross negligence, willful misconduct, fraud, or violations of applicable consumer protection laws, including the FTC Act § 5, 15 U.S.C. § 45, and ROSCA. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, the liability of the Company Parties shall be limited to the fullest extent permitted by law.
6. Disclaimers
The Services are provided on an "as is," "as available," and "with all faults" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Nsutite disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, reliability, and any warranties arising out of course of dealing, usage, or trade. We do not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, error-free, or virus-free, or that any defects will be corrected.
No advice, representation, or information, whether oral or written, obtained by you from Nsutite or through the Services shall create any warranty not expressly stated in these Terms or in a separate written agreement signed by an authorized representative of Nsutite. We do not endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Services or any hyperlinked website or service, and we will not be a party to or in any way monitor any transaction between you and third-party providers of products or services.
The disclaimers in this Section do not limit or exclude liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other matter that cannot lawfully be excluded or limited under applicable law. These disclaimers also do not affect any warranties that may apply to the sale of goods under the Uniform Commercial Code (UCC) Article 2 as adopted by the relevant state, or, in Maryland, Virginia, and Louisiana, under the Uniform Computer Information Transactions Act (UCITA), to the extent such statutes are deemed applicable and cannot be disclaimed.
7. Indemnification
You agree to defend, indemnify, and hold harmless the Company Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees and costs) arising out of or relating to: (a) your access to or use of the Services, including any data, content, or materials transmitted or submitted by you; (b) your violation of any provision of these Terms or any applicable law, regulation, or guideline; (c) your violation of any third-party right, including any intellectual property, privacy, publicity, or proprietary right; (d) your use of any third-party product, service, or integration in connection with the Services; or (e) any dispute between you and any other user or third party arising from your use of the Services.
You agree to cooperate fully with Nsutite in the defense of any claim subject to indemnification. Nsutite reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree not to settle any matter without the prior written consent of Nsutite. Your indemnification obligations shall survive the termination or expiration of these Terms and your use of the Services.
Notwithstanding the foregoing, Nsutite shall not be entitled to indemnification for claims arising solely from Nsutite's own gross negligence, willful misconduct, fraud, or material breach of these Terms. Nothing in this Section shall be construed to require you to indemnify any Company Party for claims arising from the Company's unauthorized use or disclosure of your confidential information or personal data in violation of applicable law, including the Health Insurance Portability and Accountability Act (HIPAA) where applicable, the Gramm-Leach-Bliley Act, 15 U.S.C. §§ 6801-6809 (GLBA) for financial institutions, or state comprehensive privacy laws such as the California Consumer Privacy Act as amended by the CPRA (Cal. Civ. Code § 1798.100 et seq.).
8. Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your use thereof shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods. The parties agree that the federal and state courts located in Delaware shall have exclusive jurisdiction over any dispute not subject to arbitration under Section 9, and you irrevocably consent to the personal jurisdiction and venue of such courts.
Notwithstanding the foregoing, this governing law provision does not supersede mandatory consumer protection provisions of your state of residence. If you are a consumer, you may benefit from additional rights and remedies under the consumer protection laws of the state in which you reside, including state comprehensive privacy laws such as the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), the Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), the Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), the Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and similar statutes enacted by Texas, Oregon, Montana, Florida, Tennessee, and other states.
The parties acknowledge and agree that these Terms evidence a transaction involving interstate commerce and that the Federal Arbitration Act, 9 U.S.C. § 1 et seq., shall govern the interpretation, validity, and enforcement of the arbitration agreement in Section 9. To the extent any provision of these Terms is held to be invalid or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
9. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY, AS IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, TO HAVE A JURY TRIAL, AND TO PARTICIPATE IN A CLASS ACTION. Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Delaware, before one arbitrator administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and Mediation Procedures, except as otherwise provided herein.
CLASS ACTION WAIVER: You agree that any arbitration or other legal proceeding shall be conducted only in your individual capacity and not as a class action, consolidated action, representative action, private attorney general action, or other similar proceeding. You expressly waive any right to bring or participate in a class, collective, or representative action against Nsutite. The arbitrator shall have no authority to conduct class-wide arbitration proceedings or to award relief to any person or entity other than the individual claimant. If a court determines that this class action waiver is unenforceable for any reason, then the entire arbitration agreement in this Section shall be null and void, and the parties agree that any dispute shall be resolved exclusively in the state or federal courts located in Delaware.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of its jurisdiction, provided such action remains on an individual, non-class, and non-representative basis. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. Nothing in this Section shall prevent either party from reporting violations of law or regulation to any governmental or law enforcement agency, including the Federal Trade Commission.
10. Termination
These Terms shall remain in full force and effect for so long as you access or use the Services or maintain an account with Nsutite. We may suspend, restrict, disable, or terminate your access to all or any part of the Services, with or without cause, with or without prior notice, and with immediate effect, at our sole discretion. Grounds for termination may include, but are not limited to: (a) your breach of any provision of these Terms; (b) your failure to pay any fees when due; (c) your engagement in fraudulent, abusive, or illegal activity; (d) prolonged periods of inactivity; or (e) any conduct that we determine, in our sole discretion, to be harmful to Nsutite, the Services, or other users.
Upon termination, your right to use the Services will immediately cease, and you must immediately discontinue all use of the Services and destroy any copies of materials obtained from the Services in your possession or control. All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to provisions relating to intellectual property rights, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and confidentiality. Termination of your account does not relieve you of any obligation to pay any accrued fees or charges owed to Nsutite.
If you wish to terminate your account or cancel a subscription, you may do so at any time by following the cancellation procedures available in your account settings or by contacting us at [email protected]. Following cancellation, we will use commercially reasonable efforts to delete or anonymize your account data in accordance with our data retention policies and applicable law, except as required to comply with legal obligations, resolve disputes, enforce our agreements, or protect our legitimate business interests. Please review our Privacy Policy for additional information about how we handle your data upon termination.
11. Changes to Terms
Nsutite reserves the right, in its sole discretion, to modify, amend, or update these Terms at any time and for any reason. If we make material changes, we will notify you by email to the address associated with your account, by posting a notice on the Site, or through other reasonable means, prior to the changes becoming effective. The "Last Updated" date at the top of these Terms indicates when the Terms were last revised. Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of and agreement to the revised Terms.
If you do not agree to the revised Terms, you must stop using the Services immediately and, if applicable, cancel your account in accordance with the procedures described in Section 10. Material changes may include modifications to fees, billing practices, dispute resolution procedures, privacy practices, acceptable use policies, or limitations of liability. We encourage you to review these Terms periodically to stay informed about our policies and practices.
Any modifications to these Terms shall be effective as of the date posted unless otherwise stated. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Nsutite. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms, together with our Privacy Policy, Cookie Policy, and any other written agreements between you and Nsutite, constitute the entire agreement between you and Nsutite regarding the Services and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
